Choosing the correct ownership and management structure for a business entity is paramount. While many entrepreneurs may be tempted to try to minimize start-up costs by not using legal counsel when starting a new business, retaining an attorney early in the process can prevent choice of an entity that does not fit the client’s business profile, tax goals, and operational priorities.  Limited liability companies, as most flexible entities, need to be set up with the correct ownership and management structure and tax status and be supported by a well-drafted operating agreement that accurately reflects the intent of the members, is suitably detailed, and contains appropriate provisions relating to management authority, tax allocations and planning for dissolution, sale, transfers of membership interests and member buyouts.

The wind-down and dissolution process can vary by state. The dissolution process is often complex and can require submission of notices to various governmental agencies. We assist clients in navigating through these requirements to complete the liquidation and dissolution process in compliance with applicable laws.
