Gosia J. Bochenek
Gosia provides clear, actionable legal guidance to small and mid-sized businesses throughout the Washington Metropolitan area. With over two decades of experience, she focuses on creative problem-solving, guiding clients through complex business transactions and high-stakes decisions. She anticipates legal pitfalls and crafts strong, strategic agreements that mitigate risk, protect her clients’ interests, and position them for long-term success.
Her practice spans a wide range of business and commercial transactions, including asset and stock sales, mergers and reorganizations, joint ventures, and commercial real estate. Gosia also serves as outside general counsel, advising on corporate governance, partnership and operating agreements, holding structures, employment matters, early-stage compensation, business breakups, and partnership separations.
Gosia initially practiced in a large Connecticut firm the areas of mergers and acquisitions, contracts, commercial financings, real estate and intellectual property. Subsequent years of close collaboration with estate planning attorneys gave her a deep understanding of wealth transfer strategies and a unique perspective in business succession planning and asset protection. She frequently uses these insights to advise other professionals—such as financial
planners, wealth managers, CPAs, and attorneys—on succession strategies and buy-sell arrangements.
Gosia earned her Juris Doctorate from the University of Connecticut School of Law, where she was an Editor of the Insurance Law Journal. She also holds a five-year master’s degree in law from the University of Wroclaw, Poland.
Passionate about supporting the business community, Gosia is a former board member of the National Association of Women Business Owners (NAWBO). She currently serves as legal counsel and a board member for The Choralis Foundation. A music lover and former violinist, she enjoys singing in a Washington-area chorus.
She is vested in the community and provides pro bono counsel to nonprofit organizations. For many years, she had volunteered her time as a member of the board of directors of the National Association of Women Business Owners. She currently serves as legal counsel and a board member of The Choralis Foundation. As a passionate music lover who once played violin in chamber ensembles, she enjoys signing in a Washington area chorus.

- Guided numerous clients, including owners of professional service firms, commercial services businesses, small manufacturers, franchisees, and distributors, through business purchases and sales, managing all aspects of the deal, including pre-transaction negotiations, due diligence, tax-free reorganizations, and closings.
- Advised a Canadian logistics company as local counsel on U.S. entity formations, multi-state corporate compliance, and commercial financing transactions involving U.S. assets.
- Managed the global trademark portfolio for an automotive products company, assisting with trademark applications, maintenance of existing U.S. registrations, and liaising with foreign trademark counsel.
- Advised corporations and LLCs on complex entity restructuring, including reorganizations, recapitalizations, conversions, and domestications, partnership agreements, buy-sell arrangements, shareholders’ agreements, equity transfers, and stock redemptions.
- Acted as outside counsel to professional service firms advising on partnership and employment matters, contract management, business reorganizations, and sales. Structured and executed numerous business succession plans for professional service firms, including financial planning, wealth management, legal, and accounting practices.
- Represented investors in commercial real estate transactions, including acquisitions and dispositions, single-purpose entity (SPE) formations, and negotiation of related financings. Drafted and negotiated commercial leases for office, retail, and restaurant spaces.
- Advised clients on a wide variety of consulting and service contracts, master services agreements, vendor agreements, teaming agreements, and others.
- Represented borrowers in a variety of financing transactions, including bridge loans, revolving lines of credit, and intrafamily loans.
- Assisted C-suite executives with employment, severance, and separation agreements. Structured and implemented incentive compensation plans, including profit interest grants, restricted stock awards, and phantom equity.
- Formed non-profit organizations and secured tax-exempt status (e.g., 501(c)(3)) for charitable, religious, and educational entities.
